Terms of Service
Last updated November 5, 2026
These Terms of Service govern your access to the LumniPay website at https://lumnipay.com and your use of the LumniPay payment orchestration platform. Please read them carefully. By accessing the website or using the platform, you agree to be bound by these terms.
1. 1. Who we are
LumniPay is operated by Lumnipay LLC, a limited liability company organised under the laws of Wyoming, USA (registration number 2026-001905944, EIN 98-1922038), with its registered address at 5830 E 2nd St, Ste 7000 #33557, Casper, Wyoming 82609, USA (referred to as "LumniPay", "we", "us" or "our").
In these terms, "you" means any visitor to the website and, where you use the platform, the business on whose behalf you accept these terms (a "Merchant"). If you accept these terms on behalf of a business, you confirm that you have authority to bind that business.
2. 2. What LumniPay is, and what it is not
LumniPay is a payment orchestration technology platform for e-commerce brands, including high-growth and high-risk merchants. It provides software tools such as routing between payment processors and merchant accounts, cascade retries, hosted checkout, upsells, subscription billing, risk controls and analytics.
Important
LumniPay is not a bank, payment institution, money transmitter, payment processor or acquirer. We do not hold, receive or transmit Merchant funds. Payment processing, settlement and payouts are performed by licensed third-party processing partners under their own terms and agreements with the Merchant.
Nothing on the website or the platform constitutes financial, legal or tax advice.
3. 3. Access through Tagada
LumniPay is available exclusively through Tagada, the e-commerce CRM. Merchants apply for LumniPay, are reviewed and are activated through Tagada. We do not open LumniPay accounts directly.
- Your use of Tagada is governed by Tagada's own terms and policies, which are separate from these terms.
- Tagada and LumniPay may each decline, delay or condition an application at their discretion, including on the basis of the Merchant's business model, history or risk profile.
- If your Tagada account is suspended or terminated, your access to LumniPay may be suspended or terminated as well.
4. 4. Processing partners
To accept payments through LumniPay, a Merchant must be underwritten and approved by one or more third-party processing partners. Each processing partner decides independently whether to approve a Merchant and on what conditions.
- Your relationship with each processing partner is governed by the agreement you enter into with that partner.
- Processing partners set payout schedules, rolling reserves, chargeback thresholds and other conditions during underwriting. LumniPay does not control these decisions.
- Processing partners may apply rules stricter than these terms or our Acceptable Use Policy, and you must comply with them.
- We are not responsible for the acts, omissions, availability or decisions of any processing partner.
5. 5. Merchant obligations
As a Merchant, you agree to:
- Provide accurate, complete and current information during onboarding and keep it up to date.
- Comply with all laws and regulations that apply to your business, your products and your marketing, including consumer protection, data protection, tax and export rules.
- Comply with the card network rules and the requirements of your processing partners.
- Comply with our Acceptable Use Policy.
- Display clear pricing, billing terms, refund and cancellation policies, and customer service contact details to your customers.
- Obtain all consents required to collect and process your customers' personal data, and publish a privacy policy that covers your use of LumniPay.
- Keep your credentials and API keys confidential, and notify us promptly of any unauthorised access.
- Cooperate with reasonable requests for information related to risk, compliance, disputes or investigations.
6. 6. Fees
LumniPay fees are a per-transaction rate as presented on our pricing page and confirmed with you during onboarding. Any specific pricing agreed in writing during onboarding prevails over the general pricing page.
Fees charged by Tagada and by processing partners are separate and are governed by their own terms. Unless otherwise agreed, fees are exclusive of applicable taxes. We may change our fees with reasonable prior notice; continued use of the platform after the change takes effect constitutes acceptance.
7. 7. Acceptable use and risk controls
You must not use the platform for any prohibited business or practice described in our Acceptable Use Policy, or in any way that is unlawful, fraudulent or harmful to cardholders, processing partners, Tagada or LumniPay.
The platform includes configurable risk tools. You remain responsible for your own risk settings, your fulfilment, your customer service and the disputes and chargebacks arising from your transactions.
8. 8. Suspension
We may suspend or restrict your access to all or part of the platform, with or without prior notice where reasonable in the circumstances, if:
- We reasonably believe you have breached these terms or our Acceptable Use Policy.
- Your dispute, chargeback, refund or fraud rates present an unacceptable risk.
- A processing partner or Tagada requests it, or your agreement with them ends.
- We are required to do so by law, by a court or by a competent authority.
- Your account poses a security risk to the platform or to other users.
Where possible and lawful, we will tell you the reason for a suspension and work with you to resolve it.
9. 9. Intellectual property
LumniPay and its licensors own all rights in the website, the platform, the software, documentation, trademarks and related materials. Subject to these terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the platform for your own business during your subscription.
You must not copy, modify, reverse engineer, resell or create derivative works of the platform, or use it to build a competing service. You retain all rights in your own content and data. You grant us a licence to use that content and data only as needed to provide, secure and improve the platform, in line with our Privacy Policy.
If you send us feedback or suggestions, we may use them without any obligation to you.
10. 10. Disclaimers
The website and the platform are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not guarantee any approval rate, revenue outcome, processing partner approval or uninterrupted availability. Routing and retry features can improve results, but outcomes depend on factors outside our control, including issuer decisions and processing partner rules.
11. 11. Limitation of liability
To the fullest extent permitted by law, LumniPay will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to these terms or the platform.
Our total aggregate liability for all claims arising out of or related to these terms or the platform will not exceed the fees you paid to LumniPay in the three months before the event giving rise to the claim. We are not liable for funds held, delayed or withheld by a processing partner, for reserves, or for chargebacks.
You agree to indemnify and hold LumniPay harmless from claims, losses and expenses (including reasonable legal fees) arising from your products, your business, your breach of these terms or your violation of law or third-party rights.
12. 12. Termination
You may stop using the platform at any time by contacting us or through Tagada. We may terminate your access for convenience with 30 days' notice, or immediately for any of the reasons listed in the Suspension section.
On termination, your right to use the platform ends. Sections that by their nature should survive (including fees owed, intellectual property, disclaimers, limitation of liability, indemnity and governing law) will survive. Your obligations to processing partners continue under your agreements with them.
13. 13. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws rules. Any dispute arising out of or related to these terms will be brought exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction.
Before starting any formal proceeding, both parties agree to try in good faith to resolve the dispute informally by contacting the other party in writing.
14. 14. Changes and contact
We may update these terms from time to time. The date at the top of this page shows when they were last revised. If changes are material, we will give reasonable notice on the website or by email. Continued use after changes take effect means you accept the updated terms.
